报业控股重组，把媒体业务送掉，是不是对小股东大利空呀，大家投反对票吧

看完标题进来，我是被楼主的标题吓到了小米留自己

感觉是大利空 不知道大佬们怎么看

这应该是对股东有利吧？剥离了不赚钱的媒体出版业务，报业控股就能改名成其他名字然后名正言顺的搞房地产搞加密货币搞各自来钱快的金融投资。

至于媒体，出版，记者们，给他们一笔钱然后自生自灭，再不济也有政府救济，话都放出来了：这是李光耀亲自交棒的业务，不准倒闭。

对小股东而言，确实不公但显然又不能参照阿里收购南华早报的模式脱售传统媒体， 将新加坡重要媒体的控制权落入外企的手中。
如今股东出资剥离“不良资产”， 成立非盈利公司， 从道义上保存了媒体的独立性，但 对现有的股东而言， 将重要资产剥离还要重金附送， 怎会心甘。 SIAS 是否也应该出面， 尽量保护中小股东的利益。

那个cna的同行记者第一个问题有点歪，直接质疑了sph媒体报道的完整中立性。ceo还是可以的跳出来defend自己人，虽然说话太难听。大家奚落他也就是想笑话下新加坡的各种paper general的素质，不过他NOL的黑历史实在太差。

新加坡政府管得太多了，造成一些人整天认为只要是谈马希控股的公司就没有风险不会倒闭所以在谈马希对一些资产进行合理的分配是被你说成是“侵犯中小股东的利益“
要知道投资没有中小股东之分，当你投资一家公司时，所有的股东都是一样的，风险和利益是平等的。
公司无利可图，要谈马希一直输血是没有道理的。

弃如敝屣将海峡时报， 联合早报等狮城久负盛名的媒体倒贴剥离， SPH彻底沦落成了一家二流房地产公司，还美其名曰剥离不良资产，真是神操作了。

SINGAPORE – The "take umbrage" reaction of Singapore Press Holdings (SPH) chief executive officer Ng Yat Chung when SPH's editorial integrity was questioned recently at a press conference it called for was "very unfortunate", said Law and Home Affairs Minister K Shanmugam.

Speaking on the sidelines of a community event on Saturday (8 May), Shanmugam said to local media that "Mr Ng’s reaction and the way he answered the question... was very unfortunate," according to a report by Today.

"His outburst can be described in stronger terms. But I want to be careful and understated, because SPH is a listed company (with) shareholders, management, and I need to be careful," he added.

Ng's comments have since gone viral, with multiple businesses taking advantage of the furore to promote their products and services.

At the press conference on Thursday, SPH announced that it will be moving its media business into a not-for-profit entity, which will eventually be restructured into a company limited by guarantee. This will allow it to receive funding from private and public sources, including extra financial support from the government.

The move to restructure SPH's media business comes as its core segment's revenue and profit continued to plunge amid falling advertisement revenue.

I would have thought that SPH should receive millions in hiving the media busineInstead SPH has to pump in $80 million of cash and transfer a certain number of its shares and that of SPH REIT. In this scenerio SPH is paying to get rid of the media business. Why not just cease the media business and shut it down!!!. Whoever is interested in the media business should take it over and pay SPH.I cannot fathom why SPH has to hive it off and pay for this exercise.

Not only should the CEO resign over the management of SPH but the whole Board of Directors who has appointed him and installed him as the CEO.

It is time that the Board be called to account and take responsibility for the management of SPH.

It is also time that the authorities take a proactive and robust approach to impove the effectiveness of corporate governance of all listed companies including SPH.The board of directors should not be a club for friends, cass and school mates, relatives or to repay past favours.It is time to include a least a representative from the minority shareholders. At present, independent directors are SUPPOSSED to protect the interest of the minority shareholders but in reality do they?

Now that this debacle has surfaced it is only honorable although not gentlemanly for the CEO to resign. Whether or not the other board members would resign would much depend on his or her conscience in evaluating how he or she has contributed to this state of affairs of SPH.

投票没有用的，既然无力反抗，不如试着接受甚至享受-趁机抄个底也好啊。

房地产公司PB都很低 这个二线甚至3线地产公司不sexy

坡县股市也是神奇一半的主营业务被剥离，股价只波动不到20%，所以还好啦

设想另一种情况不讲剥离，而是拆分，按业务比例，拆为
报业控股和产业控股（目前业务比例是大约50:50，股价也一半一半）
小股东会怎么选，怎么反应呢?

看来它们应该先找我顾问一下，呵呵

1）报业控股经营媒体业务

现状就是，
报业 （51%），成本高，收益低，亏损严重
产业和其他（49%）， 成本低，收益还好， 利润部分全部补助了报业 -产业部分的投资业务， 收益一直不佳

西门子手机业务卖给台湾当初也是倒贴，现在如何？

报业控股重组，把媒体业务送掉，是不是对小股东大利空呀，大家投反对票吧新加坡报业控股将重组媒体业务，将它转入新成立的全资子公司SPH Media，这家子公司将自成一个独立的非盈利单位，通过从公共、私人或慈善领域获得的资金来支持经营。

报业控股将寻求股东支持，把SPH Media脱离成为非盈利机构，以担保有限公司（Company Limited by Guarantee）的方式运营。如果决议得到股东批准，将意味着媒体业务将下市，通过公共与私人资金来支持经营，而报业控股也不再是媒体公司。

在美股中AB结构挺常见比如京东， 强哥的B股投票权是 A股的 20倍。 而当年陈光标收购纽约时报， 更是让熟悉AB股结构的众人当成笑话。

我以为是adr才比较常见全流通的就比较少
美股是百花齐放的
如果不高AB股，外来公司就不来了，呵呵
